SPECIFICATIONS
RESPONSIBILITY OF SUCESSFUL BIDDER
Successful Contractor shall supply one catalog at the stated cost in the quotationsheet upon award of bid to McKinley County Adult Detention Center, Attn: DonnaGoodrich, 255 South Boardman Ave., Gallup, NM 87301 and one to McKinleyCounty Purchasing, Attn: Joann M. Schmaltz, CPPB, P.O. Box 70, Gallup, NM87305. Catalogs shall be valid for one year. McKinley County shall be informedwhen new catalogs are issued by receiving a supply of two catalogs at the statedcost to the addresses above.
Purchase Order numbers will purchase Pharmaceuticals and Medical Suppliesonly as demand requires by mail or facsimile.
Delivery must be 10 days ARO if not earlier. Material Safety Data Sheets
must be received with the shipment for each pharmaceutical item or medical
supply.

A confirmation on back-ordered items must be mailed or faxed to the
McKinley County Department, (505) 863-6362 who placed the order with
approximate delivery date by contractor.

All Pharmaceutical and Medical
Supplies shall be FOB Destination to Gallup, NM 87301.
McKinley County
reserves the right to cancel any back-ordered items, and order with another
multi-award contractor due to unavailability.

It is the intention of these specifications that the contractor hereunder shall furnishand McKinley County shall purchase Pharmaceuticals Emergency MedicalSupplies covered by this agreement, which the County may require during theperiod of time specified. The County reserve the right to order such supplies asrequired during the said period, and it also reserve the right not to order anysupplies bid upon by the vendor, if it is found that such supplies are not required bythe County during the period covered by this agreement.
The County does not guarantee any specific quantities or number of deliveries thatwill be made during the term of this agreement.

THESE SUPPLEMENTAL TERMS AND CONDITIONS ARE IN ADDITION TO THE GENERALINSTRUCTIONS, TERMS AND CONDITIONS AND, IN THE EVENT OF A CONFLICT BETWEENTHE PROVISIONS OF THE GENERAL INSTRUCTIONS, TERMS AND CONDITIONS ANDTHESE SUPPLEMENTAL TERMS AND CONDITIONS SHALL CONTROL.
AWARD OF CONTRACT; LOWEST RESPONSIVE OFFER:
A CONTRACT RESULTING FROM THIS BID WILL BE AWARDED ON THE BASIS OF THE

CONTRACT PERIOD:

MANUFACTURER’S INFORMATION:
ANY BID MADE IN RESPONSE TO THIS INVITATION MUST INCLUDE THE MANUFACTURER’S

Except as otherwise specifically provided in this bid, these General Instructions, Terms and Conditions shall govern theprocurement of the items specified in this bid. In the event of a conflictbetween these General Instructions, Terms and Conditions, SupplementalConditions or the specifications of this bid, the order of application shall bethe Specifications, Supplemental Conditions and the General Instructions,Terms and Conditions. In addition, the Public Purchases Ordinance andpromulgated Rules and Regulations shall apply.
As used in this bid, the definitions of the Public Purchases Ordinance apply including the following.
"Bid"

"Bidder" means a business that submits a response to a

capability to perform, among others, are its financial resources,
production or service facilities, service reputation and experience.

The County reserves the right to reject a bid for, including but not limited to,any one or more of the following circumstances: In the past the bidder has failed to comply with previous contractualcommitments or bids to the County.
In the opinion of the County the bidder is not capable of providingthe offered goods, services, or construction as offered or requiredby the bid or is otherwise not a responsible bidder.
The bidder has not provided sufficient or detailed information, whichallows for the evaluation of the bid.
In the opinion of the County the offered prices are higher than theprices for which the specified items or services can be purchased onthe open market.
The bidder failed to properly fill in any space on the Invitation forBids form and attached documents where information or a signatureis required.
The bidder did not, at the time the bid is made, have an appropriateNew Mexico Contractor's License or Certification when one isrequired by law, regulation or this Bid.
The bidder failed to submit with their bid, bid bonds or other materialrequirements of the Bid or has otherwise submitted a non-responsive bid.
There are unauthorized additions, conditions, alternate proposals orother irregularities of any kind, which might make the bidincomplete, indefinite or ambiguous in meaning.
Bid was not submitted in ink or typewritten or there is any erasure oralteration of words or figures relating to pricing which is not initialedin ink by the bidder.
The County determines that a bid contains any misrepresentationswhatsoever.

Any solicitation, prior to opening or after opening, may be canceled or anyor all bids may be rejected in whole or in part when it is in the best interestof the County.
Minor or technical irregularities in a bid, when there is no effect on price,quality or quantity may be waived and clerical errors in a bid may becorrected, if permitted by the Purchasing Officer and are in the best interestof the County.
NONCONFORMING/CONDITIONAL, OR COUNTER BIDS: A bid which is nonconforming or conditional, whether in part or in whole willbe rejected.
The County reserves the right to analyze, examine and interpret any bid fora minimum period of ninety (90) consecutive calendar days, after thescheduled time for the opening of bids. Bids may not be rescinded duringthis period except for good cause and with the written approval of thePurchasing Officer.
In those situations where the analysis/evaluation exceeds the ninety (90) calendar days, bidders may withdraw their bidsfrom consideration.
Purchase Order is issued or other evidence of acceptance by theCounty if provided to the bidder. A Recommendation of Award doesnot constitute award of contract.
If a contract is awarded, it shall be awarded to the responsive and responsible bidder whose bid is lowest in total priceand is the most advantageous to the County, specifications andother factors considered.
Basis of Award: The County reserves the right to award a contractbased on this Bid in total or by group of items, on the basis ofindividual items, or any combination of these, which in the judgmentof the Purchasing Officer, best serves the interests of the County,unless otherwise stated in this Bid.
Increase of Quantities: The County reserves the right to increasethe quantities of items of tangible personal property, services orconstruction to be provided within a twelve (12) month period, underthe terms of the Contract, at the same prices, with the consent ofthe Contractor.

Decrease of Quantities: The County reserves the right to decreasethe quantities of items of tangible personal property, services orconstruction to be provided under the terms of the Contract.
However, the Contractor shall be offered an opportunity to cancelthe portion of the Contract affected by such a decrease if theContractor is not able to meet the contracted prices by delivering thedecreased amount. This clause shall not have effect if the Contractwas originally awarded based on estimated quantities.
Contract Changes: In no case shall a contract be changed withoutthe prior written approval of the Purchasing Officer.
To qualify for the five percent (5%) in state Resident Preference, thebidder must provide their assigned Resident Certification Numberwith their bid (an appropriate place is designated in the Bid Form).
If a bidder does not provide their assigned Resident CertificationNumber with their bid, the bid shall not be considered as made by aresident business or a resident manufacturer and no preferenceshall be applied during the analysis of that bid.
Your State Tax Number is NOT your Resident Certification Any bidder who is aggrieved in connection with a solicitation oraward of an Agreement may protest to the County of McKinleyPurchasing Officer in accordance with the requirements of theCounty of McKinley’s Procurement Regulations and the StateProcurement Code. The protest should be made in writing within 24hours after the facts or occurrences giving rise thereto, but in nocase later than 15 calendar days after the facts or occurrencesgiving rise thereto.
In the event of a timely protest under this section, the PurchasingOfficer and the County of McKinley shall not proceed further with theprocurement unless the Purchasing Officer makes a determinationthat the award of Agreement is necessary to protect substantialinterests of the County of McKinley (13-1-173 NMSA 1978).
The Purchasing Officer or his designee shall have the authority totake any action reasonably necessary to resolve a protest of anaggrieved bidder concerning procurement. This authority shall beexercised in accordance with adopted regulations, but shall notinclude the authority to award money damages or attorney’s fees(13-1-174 NMSA 1978).

The Contractor shall submit an accurate invoice, in duplicate, for eachpurchase. Invoices shall refer to the Purchase Order Number, the ReleaseForm Number if applicable, and shall be itemized unless otherwisespecified in this Bid. Invoices are to be mailed to: McKinley County, Boardof Commissioners, Accounts Payable, P.O. Box 70, Gallup, New Mexico87305-0070. Invoices mailed or provided to any other entity will result in adelay in making payment. Offerors are encouraged to inquire if paymentsdue are not received within thirty (30) days after delivery of goods/servicesand submittal of invoice by contacting the Accounts Payable at (505) 722-3868.
If, through any cause, the Contractor fails to fulfill the Contractor’sobligations under any contract resulting from this Bid in a timely and propermanner, or if the Contractor violates any of the covenants, agreements orstipulations of such contract, the County shall notify the Contractor of suchviolations in writing and allow the Contractor a reasonable time, set out inthe notice, to correct the default. If the default is not corrected within thespecified time period the County shall have the right to cancel the contractand any or all other current contracts with the Contractor, and, if applicable,to purchase the required goods or services from another source or sources.
The County shall provide written notice to the Contractor specifying theeffective date of cancellation. The notice of cancellation may be containedin the notice of default.
If a contract resulting from this Bid is canceled, the Contractor shall not berelieved of liability to the County for damages caused by its breach of thecontract.
The County reserves the right to recover such damages, including but not limited to any excess cost incurred in having to purchasecontract goods/services from other sources by a deduction from an unpaidbalance due to the Contractor, collection against a performance or laborand materials payment bond, a combination of these remedies, or any otherlegal method available. In addition, the Contractor may be removed fromthe Purchasing Office Vendor List or determined to be ineligible to respondto future solicitations, as being not responsible.
TERMINATION FOR THE CONVENIENCE OF THE COUNTY: The County may terminate any contract resulting from this Bid at any timeby giving at least thirty (30) days' notice in writing of such termination to theContractor. In such event, the Contractor shall be paid under the terms ofthe contract for all goods/services provided to and accepted by the County,if ordered or accepted by the County prior to the effective date oftermination.
